1. BINDING AGREEMENT

This Terms of Service ("Agreement") constitutes a legally binding contract between you ("User," "you," or "your") and BAÑOX ("Company," "we," "us," or "our"). By registering an account, accessing our digital platform, downloading any mobile applications, or participating in any competitions, you acknowledge that you have read, understood, and irrevocably agree to be bound by all terms and conditions contained herein.

Critical Understanding: Your participation does not establish BAÑOX as a provider of competitions or services offered by third-party developers. You represent and warrant that you possess full legal authority and capacity to accept these Terms.

2. LICENSE GRANT & MODIFICATION RIGHTS

2.1 Limited License Grant
Subject to your continued compliance with this Agreement, we grant you a limited, personal, non-exclusive, non-transferable, and revocable license to:
Access and use the Platform and all associated content through supported web browsers or authorized mobile devices
Utilize platform avatars and digital assets within designated parameters
Participate in competitions for personal entertainment purposes only

2.2 Modification Procedures
We reserve the exclusive right to modify, amend, or replace any portion of this Agreement at our sole discretion. Material changes will be communicated through:
Prominent website notifications
Direct email communications to registered accounts
In-platform announcement systems
Changes become effective immediately upon posting. Your continued use of the Platform following any modifications constitutes conclusive acceptance of revised terms.

3. ELIGIBILITY VERIFICATION

3.1 Qualification Requirements
To register an Account or participate in competitions, you must:
Be a natural person at least eighteen (18) years of age or the age of legal majority in your jurisdiction
Possess full legal capacity to enter into binding contracts
Be physically located within jurisdictions where participation is expressly permitted
Maintain continuous compliance with all Agreement terms

3.2 Prohibited Jurisdictions (Current List)
United States: Delaware, Louisiana, Maryland, Montana, Tennessee, Indiana, Maine, Texas.
Any other region where Competitions violate local laws.

4. ACCOUNT MANAGEMENT PROTOCOLS

4.1 Account Governance
Strictly one Account per individual throughout lifetime
Immediate notification required upon discovery of:
Unauthorized Account access or security breaches
Multiple accounts associated with your identity
Sole responsibility for:
Maintaining login credential confidentiality
All activities conducted through your Account

4.2 Inactivity Policy
Accounts demonstrating no recorded transactions for thirty (30) consecutive months will have balances remitted according to applicable escheatment laws and may be subject to permanent closure.

5. COMPETITION RULES & RESTRICTIONS

5.1 Participation Standards
Personal participation for recreational purposes only
Strict prohibition against:
Fraudulent, collusive, or manipulative activities
Use of automated tools, bots, or artificial intelligence
Sale or trade of merchandise, winnings, or account privileges

5.2 Cash Competition Requirements
Maintenance of accurate personal and payment information
Consent to comprehensive identity verification checks
Bonus Funds utilization:
Exclusive use for competition entries
Automatic forfeiture upon withdrawal requests
Expiration after 60 days of account inactivity

6. INTELLECTUAL PROPERTY PROTECTION

6.1 DMCA Compliance Protocol
Copyright infringement claims must include:
Authorized representative's physical or electronic signature
Detailed description of copyrighted work
Location of infringing material
Complainant contact information
Statement of good faith belief
Verification of accuracy under penalty of perjury

6.2 User Content License
You grant us a perpetual, worldwide, royalty-free license to utilize all submitted content. Where permissible by law, you waive all moral rights in such content.

6.3 Digital Assets Ownership
All in-game assets ("Digital Assets") remain our exclusive property. You receive only a limited, non-transferable license for personal use.

7. LIABILITY FRAMEWORK & INDEMNIFICATION

7.1 Limitation of Liability
To the maximum extent permitted by law, we exclude liability for:
Direct or indirect damages (including data loss, lost profits)
Third-party conduct or content
Service interruptions or degradations
Unauthorized access or security breaches

7.2 User Indemnification Obligation
You agree to defend, indemnify, and hold harmless the Company from all claims, damages, and expenses arising from:
Agreement violations
Illegal use of Services
Infringement of third-party rights

8. DISPUTE RESOLUTION PROTOCOL

8.1 Governing Law
This Agreement shall be governed by Nevada state law, excluding conflict of laws principles.

8.2 Mandatory Arbitration
All disputes administered by American Arbitration Association (AAA)
Conducted under Commercial Arbitration Rules
Venue: United States jurisdiction
Individual claims only (class action waiver)
Arbitrator decisions are final and binding

8.3 Dispute Resolution Waiver
You agree to resolve disputes individually and waive any right to participate in class, consolidated, or representative actions.

9. GENERAL PROVISIONS

9.1 Force Majeure
No liability for events beyond reasonable control including natural disasters, government actions, or infrastructure failures.

9.2 Severability
If any provision is found invalid, remaining provisions maintain full effect.

9.3 Assignment Rights
We may transfer Agreement rights without user consent.

9.4 Entire Agreement
This Agreement constitutes the complete understanding between parties, superseding all prior agreements.
